CONDIZIONI GENERALI DI VENDITA

Ogni acquisto di prodotti a marchio Villa Como effettuato sul sito web www.villa-como.com (di seguito anche il “Sito”) è disciplinato dalle presenti Condizioni Generali di Vendita (“Condizioni Generali di Vendita”).

I prodotti acquistati sul Sito sono venduti direttamente da MVF S.r.l.s., con sede legale in Via Giorgio Stephenson 43/A, 20157 Milano, P.IVA e C.F. 12583340968, iscrizione al Registro delle Imprese di Milano Monza Brianza Lodi n. REA MI-2671273 (di seguito, il “Venditore” o “Villa Como”).

1. DEFINIZIONI

In aggiunta ai termini definiti altrove nelle presenti Condizioni Generali di Vendita, si definiscono:

“Cliente”: il cliente finale che sia anche consumatore ai sensi dell’art. 3 del D.Lgs. 206/2005 (“Codice del Consumo”), ovvero “una persona fisica che agisce per scopi estranei all’attività imprenditoriale, commerciale, artigianale o professionale eventualmente svolta”.

“Codice del Consumo”: il D.Lgs. n. 206 del 6 settembre 2005, come successivamente integrato e modificato.

“Conferma d’Ordine”: l’avviso inviato al Cliente via e-mail con cui si conferma la spedizione dei Prodotti ordinati e si conclude il Contratto.

“Contratto”: il contratto di acquisto dei Prodotti concluso a distanza, telematicamente mediante il Sito, tra il Cliente e il Venditore, comprendente l’Ordine, la Conferma d’Ordine e le presenti Condizioni Generali di Vendita.

“Ordine”: l’ordine d’acquisto di Prodotti inviato dal Cliente al Venditore attraverso la compilazione del modulo d’ordine sul Sito.

“Prodotti”: i prodotti del Venditore contraddistinti dal marchio Villa Como e presenti, di volta in volta, nel catalogo pubblicato sul Sito.

“Ricevuta d’Ordine”: la e-mail che il Venditore invia automaticamente al Cliente per confermare la ricezione del modulo d’ordine.

“Sito”: il sito web del Venditore, accessibile all’indirizzo www.villa-como.com

“Venditore”: MVF S.r.l.s., Via Giorgio Stephenson 43/A, 20157 Milano, P.IVA e C.F. 12583340968, REA MI-2671273.

2. OGGETTO

Le presenti Condizioni di Vendita disciplinano tutti i Contratti conclusi telematicamente tramite il Sito tra il Venditore e il Cliente e ne costituiscono parte integrante ed essenziale.

3. ORDINE E ACCETTAZIONE

3.1 Per effettuare un Ordine sul Sito, il Cliente deve selezionare i Prodotti, aggiungerli al carrello virtuale, procedere al check-out e seguire le istruzioni per completare e trasmettere il modulo d’ordine elettronico al Venditore.

3.2 Per la compilazione e trasmissione del modulo d’ordine non è necessaria la registrazione al Sito.

3.3 Gli Ordini possono essere effettuati solo da persone maggiorenni e capaci di agire. Il Cliente è responsabile della correttezza dei dati personali forniti; eventuali danni o ritardi derivanti da dati errati non potranno essere imputati al Venditore.

3.4 Gli Ordini sono soggetti alla disponibilità e all’accettazione del Venditore, che potrà rifiutarli nei seguenti casi:

  • mancanza di sufficienti garanzie di solvibilità o dati incompleti/errati;

  • indisponibilità dei Prodotti ordinati;

  • errori evidenti nel Sito relativi a prezzo o descrizione dei Prodotti.

In tali casi il Venditore informerà il Cliente via e-mail entro 30 (trenta) giorni dalla ricezione dell’Ordine.

3.5 Con l’invio del modulo d’ordine, il Cliente accetta integralmente le presenti Condizioni di Vendita. Qualora non intenda accettarle, è invitato ad astenersi dall’effettuare acquisti sul Sito.

3.6 Dopo la trasmissione dell’Ordine, il Venditore invierà al Cliente una Ricevuta d’Ordine via e-mail, che non costituisce ancora accettazione. L’accettazione avviene solo con l’invio della Conferma d’Ordine, al momento della spedizione dei Prodotti.

3.7 In mancanza di Ricevuta d’Ordine entro 48 ore, il Cliente dovrà contattare il Venditore all’indirizzo info@villacomocollection.com.

3.8 Le lingue disponibili per la conclusione del Contratto sono italiano e inglese. In caso di discrepanza tra le versioni, prevale quella in lingua italiana.

4. PREZZI E CONDIZIONI DI PAGAMENTO

4.1 I prezzi dei Prodotti sono indicati sul Sito e possono essere soggetti a variazioni.

4.2 I prezzi includono l’IVA ma non i costi di spedizione, che vengono indicati separatamente prima della conferma dell’Ordine.

4.3 Il pagamento può avvenire esclusivamente tramite uno dei metodi indicati nella procedura di check-out.

4.4 In caso di pagamento con carta di credito, la spedizione avverrà solo dopo la verifica dei dati e l’autorizzazione bancaria.

4.5 Se l’addebito non va a buon fine, la vendita è automaticamente annullata.

4.6 Il Venditore emetterà fattura elettronica o via e-mail sulla base dei dati forniti dal Cliente, che non potranno essere modificati dopo l’emissione.

5. TRASPORTO E CONSEGNA

5.1 I Prodotti saranno consegnati all’indirizzo indicato dal Cliente tramite corriere selezionato da Villa Como, nei normali orari lavorativi. Non si effettuano consegne a caselle postali.

5.2 Le spese di consegna sono a carico del Cliente e vengono specificate nel modulo d’ordine.

6. PRODOTTI E GARANZIE

6.1 Il Sito mostra esclusivamente prodotti a marchio Villa Como. Il catalogo può essere aggiornato periodicamente.

6.2 I Prodotti sono soggetti a limiti di disponibilità; in caso di esaurimento, il Cliente verrà informato via e-mail o telefono e riceverà il rimborso entro 30 giorni.

6.3 Le immagini sul Sito hanno finalità illustrative. Differenze di colore o texture dovute a monitor o browser non costituiscono difetto.

7. DIRITTO DI RECESSO

7.1 Il Cliente ha diritto di recedere dal Contratto, senza penalità e senza obbligo di motivazione, entro 14 (quattordici) giorni dalla ricezione dei Prodotti.

7.2 Per esercitare il diritto di recesso, il Cliente deve contattare il Venditore via e-mail a info@villacomocollection.com entro il termine previsto.

7.3 Il Venditore invierà conferma della ricezione della richiesta di recesso.

7.4 Il Cliente dovrà restituire i Prodotti entro 14 giorni dalla comunicazione del recesso, a proprie spese.

7.5 Il rimborso dell’importo pagato (inclusi eventuali costi di consegna standard) sarà effettuato entro 14 giorni dal ricevimento dei Prodotti o della prova di spedizione, utilizzando lo stesso metodo di pagamento usato per l’acquisto, salvo diverso accordo espresso.

7.6 Il diritto di recesso è escluso per:

  • Prodotti utilizzati, lavati o anche solo parzialmente usati;

  • Prodotti personalizzati.

7.7 I Prodotti devono essere restituiti integri, completi di confezione originale ed eventuali accessori. In caso contrario, il rimborso potrà essere ridotto o negato.

8. PRODOTTI NON CONFORMI

8.1 In caso di difetti o non conformità, il Cliente ha diritto alla riparazione o sostituzione gratuita, oppure, se ciò non è possibile, alla riduzione del prezzo o alla risoluzione del contratto.

8.2 Villa Como si riserva di verificare i Prodotti restituiti. Se il difetto non sussiste, il Prodotto potrà essere rispedito al Cliente.

9. FORZA MAGGIORE

9.1 L’esecuzione delle obbligazioni può essere sospesa in caso di eventi di forza maggiore (guerre, calamità naturali, pandemie, interruzioni di trasporto, ecc.).

9.2 Il Venditore informerà il Cliente entro 7 giorni. Se la sospensione dura oltre 15 giorni, il Cliente può annullare l’Ordine.

11. PRIVACY

Il trattamento dei dati personali avviene secondo l’Informativa Privacy pubblicata sul Sito, ai sensi del Regolamento (UE) 2016/679 (“GDPR”) e della normativa nazionale vigente.

12. LEGGE APPLICABILE E FORO COMPETENTE

12.1 Le presenti Condizioni sono regolate dalla legge italiana, con riferimento al Codice del Consumo e al D.Lgs. 70/2003 in materia di commercio elettronico.

12.2 Per qualsiasi controversia relativa all’applicazione, esecuzione e interpretazione delle presenti Condizioni Generali di Vendita:

  • se il Cliente è un consumatore ai sensi del Codice del Consumo, è competente in via esclusiva il giudice del luogo di residenza o domicilio del Cliente-Consumatore;

  • in tutti gli altri casi (Clienti professionisti o soggetti che acquistano per finalità inerenti alla propria attività imprenditoriale, commerciale, artigianale o professionale), è competente in via esclusiva il Foro di Milano.

13. MODIFICHE E AGGIORNAMENTI

Le Condizioni Generali di Vendita applicabili sono quelle pubblicate sul Sito al momento dell’Ordine.
Villa Como si riserva di modificare le presenti Condizioni in qualsiasi momento; le nuove versioni avranno effetto dalla data di pubblicazione sul Sito.

GENERAL TERMS AND CONDITIONS OF SALE

Every purchase of Villa Como-branded products made through the website www.villa-como.com (hereinafter, the “Website”) is governed by these General Terms and Conditions of Sale (“Terms and Conditions of Sale”).

The products purchased on the Website are sold directly by MVF S.r.l.s., with registered office at Via Giorgio Stephenson 43/A, 20157 Milan, VAT and Tax Code 12583340968, registered in the Companies Register of Milan Monza Brianza Lodi under REA No. MI-2671273 (hereinafter, the “Seller” or “Villa Como”).

1. DEFINITIONS

In addition to the terms defined elsewhere in these Terms and Conditions of Sale, the following definitions shall apply:

“Customer”: the end customer who is also a consumer within the meaning of Article 3 of Legislative Decree No. 206/2005 (“Consumer Code”), i.e. “a natural person acting for purposes unrelated to his or her business, commercial, craft or professional activity, if any.”

“Consumer Code”: Legislative Decree No. 206 of 6 September 2005, as subsequently amended and supplemented.

“Order Confirmation”: the notice sent to the Customer by e-mail confirming the shipment of the ordered Products and concluding the Contract.

“Contract”: the distance sales contract for the purchase of Products, concluded electronically via the Website between the Customer and the Seller, including the Order, the Order Confirmation and these Terms and Conditions of Sale.

“Order”: the purchase order for Products sent by the Customer to the Seller by completing and submitting the online order form on the Website.

“Products”: the Seller’s products bearing the Villa Como trademark and listed, from time to time, in the catalogue published on the Website.

“Order Receipt”: the e-mail automatically sent by the Seller to the Customer confirming receipt of the order form.

“Website”: the Seller’s website, accessible at www.villa-como.com.

“Seller”: MVF S.r.l.s., Via Giorgio Stephenson 43/A, 20157 Milan, VAT and Tax Code 12583340968, REA MI-2671273.

2. SUBJECT MATTER

These Terms and Conditions of Sale govern all Contracts concluded electronically via the Website between the Seller and the Customer and form an integral and essential part thereof.

3. ORDERS AND ACCEPTANCE

3.1 To place an Order on the Website, the Customer must select the Products, add them to the virtual shopping cart, proceed to check-out, and follow the on-screen instructions to complete and submit the electronic order form to the Seller.

3.2 Registration on the Website is not required in order to complete and submit the order form.

3.3 Orders may only be placed by individuals who are of legal age and legally capable of entering into binding contracts. The Customer is responsible for the accuracy of the personal data provided; any damages or delays caused by incorrect or inaccurate data shall not be attributable to the Seller.

3.4 Orders are subject to the availability and acceptance of the Seller, who may refuse an Order in the following cases:

  • lack of sufficient guarantees of solvency or incomplete/incorrect data;

  • unavailability of the ordered Products;

  • evident errors on the Website relating to the price or description of the Products.

In such cases, the Seller shall inform the Customer by e-mail within thirty (30) days of receiving the Order.

3.5 By submitting the order form, the Customer fully accepts these Terms and Conditions of Sale. Customers who do not agree with any of these terms are invited to refrain from purchasing from the Website.

3.6 After the Order has been transmitted, the Seller will send the Customer an Order Receipt by e-mail. This does not constitute acceptance of the Order. Acceptance occurs only upon the sending of the Order Confirmation, at the time the Products are shipped.

3.7 If the Customer does not receive an Order Receipt within 48 hours, they should contact the Seller at info@villacomocollection.com.

3.8 The languages available for the conclusion of the Contract are Italian and English. In the event of any discrepancy, the Italian version shall prevail.

4. PRICES AND PAYMENT TERMS

4.1 The prices of the Products are indicated on the Website and may be subject to change.

4.2 Prices include VAT but exclude shipping costs, which are shown separately before the Order is confirmed.

4.3 Payment may be made only by one of the methods indicated during the check-out process.

4.4 In the case of payment by credit card, shipment will take place only after verification of the card details and authorisation from the Customer’s bank.

4.5 If payment cannot be processed, the sale shall be automatically cancelled.

4.6 The Seller will issue an electronic or e-mailed invoice based on the information provided by the Customer, which cannot be changed after issuance.

5. SHIPPING AND DELIVERY

5.1 Products will be delivered to the address specified by the Customer via a courier selected by Villa Como, during normal business hours. Deliveries to P.O. boxes are not available.

5.2 Shipping costs are borne by the Customer and are specified in the order form.

6. PRODUCTS AND WARRANTIES

6.1 The Website displays only products bearing the Villa Como brand. The catalogue may be updated periodically.

6.2 Products are subject to stock availability. In the event of unavailability, the Customer will be promptly informed by e-mail or telephone and reimbursed within thirty (30) days.

6.3 Images on the Website are for illustrative purposes only. Differences in colour or texture due to monitor or browser settings do not constitute a defect.

7. RIGHT OF WITHDRAWAL

7.1 The Customer has the right to withdraw from the Contract, without penalty and without providing any reason, within fourteen (14) days from receipt of the Products.

7.2 To exercise the right of withdrawal, the Customer must contact the Seller by e-mail at info@villacomocollection.com within the specified period.

7.3 The Seller will confirm receipt of the withdrawal request.

7.4 The Customer must return the Products within fourteen (14) days from the date of withdrawal notification, at their own expense.

7.5 Refunds (including any standard delivery costs, where applicable) will be made within fourteen (14) days from receipt of the returned Products or proof of shipment, using the same payment method used for the original purchase, unless otherwise expressly agreed.

7.6 The right of withdrawal does not apply to:

  • Products that have been used, washed, or even partially worn;

  • Customised or personalised Products.

7.7 Returned Products must be intact, complete with their original packaging and accessories. Otherwise, the refund may be reduced or refused.

8. NON-CONFORMING PRODUCTS

8.1 In the event of defects or non-conformity, the Customer is entitled to free repair or replacement of the Products, or, if this is not possible, to a price reduction or termination of the contract.

8.2 Villa Como reserves the right to inspect returned Products. If no defect is found, the Product may be returned to the Customer.

9. FORCE MAJEURE

9.1 The Seller’s performance may be suspended in the event of force majeure (such as wars, natural disasters, pandemics, transportation disruptions, etc.).

9.2 The Seller will inform the Customer within seven (7) days. If the suspension lasts more than fifteen (15) days, the Customer may cancel the Order.

11. PRIVACY

The processing of personal data is carried out in accordance with the Privacy Policy published on the Website, pursuant to Regulation (EU) 2016/679 (“GDPR”) and applicable national legislation.

12. GOVERNING LAW AND JURISDICTION

12.1 These Terms and Conditions are governed by Italian law, with reference to the Consumer Code and Legislative Decree No. 70/2003 on electronic commerce.

12.2 Any dispute concerning the interpretation, execution or validity of these Terms and Conditions of Sale shall be submitted:

  • if the Customer is a consumer under the Consumer Code, to the court of the Customer’s place of residence or domicile;

  • in all other cases (professional Customers or those purchasing for business, commercial, craft or professional purposes), to the exclusive jurisdiction of the Court of Milan (Italy).

13. AMENDMENTS AND UPDATES

The applicable Terms and Conditions of Sale are those published on the Website at the time of the Order.
Villa Como reserves the right to modify these Terms and Conditions at any time; the new version shall take effect from the date of publication on the Website.
